Partnership and subscription agreement

The terms accepted by each agency when signing up and signed by both parties when the file is approved.

Article 1 · Purpose

This agreement sets out the conditions under which Locavi makes available to the agency its platform for connecting with customers who wish to rent a vehicle, together with its management tools (fleet, calendar, rates, bookings, messaging, contracts, sub-rental network).

Article 2 · Locavi's status

Locavi is a technical intermediary. It is neither a rental company, nor the owner of the vehicles, nor an insurer, nor the agency's agent for collecting rental payments. Rental contracts are made directly between the agency and its customers, under the agency's sole responsibility.

Article 3 · The agency's representations and obligations

The agency declares that it is duly registered (company register, common company identifier ICE) and legally carries on the business of vehicle rental; that the information and documents sent to Locavi are accurate, complete and up to date; and that it will update them without delay in the event of any change. It undertakes to offer only vehicles that it is free to dispose of, that are compliant (registration document, roadworthiness test, road tax), covered by valid insurance in accordance with the regulations, and kept in good working order. It complies with the regulations applicable to vehicle rental, consumer law and data protection.

Article 4 · Relations between the agency and its customers

The agency is solely responsible, towards its customers, for the condition and availability of the vehicles, insurance, the rental contract and its general terms, deposits, damage, accidents, thefts, fines, delays, refunds and any dispute arising from the rental. It undertakes to draw up a written rental contract for each booking, to check the driver's identity and licence, to carry out a joint inspection at pick-up and return, and to honour confirmed bookings. The general rental terms offered by Locavi are a template that the agency adopts under its own responsibility.

Article 5 · Subscription and payment

Access to the platform is subject to a monthly subscription of 1,000 MAD (Essential plan, up to 20 vehicles). Locavi takes no commission on rentals: the agency is paid directly by its customers.

The subscription is payable in advance, month by month, by bank transfer or in person, and approved by Locavi on presentation of the receipt. The amount is expressed in dirhams; the applicable VAT treatment appears on the receipt or invoice issued. If payment is not made when due, the agency's vehicles are removed from the results until payment is made. Months paid are non-refundable, unless Locavi is in breach.

Article 6 · Limitation of liability and indemnity

Locavi guarantees neither the number of bookings, nor the solvency or conduct of customers, nor the uninterrupted availability of the platform. Its liability is limited to direct damage resulting from a proven breach of its obligations and may not exceed the amount of the subscriptions paid by the agency over the last three months, except in cases of gross negligence or fraud. Locavi can in no case be held liable for damage, accidents, thefts, fines, unpaid sums, cancellations or disputes arising between the agency and its customers or between agencies.

The agency indemnifies Locavi against any claim, action or judgment by third parties (customers, authorities, insurers, other agencies) based on the performance of rentals, on the content it publishes or on a breach of this agreement, and compensates it for the resulting costs, including reasonable legal fees.

Article 7 · Sub-rental between agencies

When two agencies enter into a sub-rental through the Locavi network, the sub-rental contract is made solely between them. Locavi provides the template and the tracking for information only, is not a party to the contract, guarantees neither payment nor the return of the vehicle and assumes no liability in this respect.

Article 8 · Personal data and customers' documents

For its customers' data (identity, licence, contact details), the agency is the data controller within the meaning of Law no. 09-08: it uses the data solely to perform rentals, protects it against unauthorised access, does not transfer it, keeps it for the necessary period and then deletes it, and completes the required formalities with the CNDP. Locavi processes the agency's data for account management, invoicing and fraud prevention, in accordance with its privacy policy.

Article 9 · Compliance, checks and suspension

Locavi checks the documents provided before activating the agency and may request additional supporting documents at any time. Locavi may suspend or remove the agency, without notice, in the event of false declaration, fraud, serious or repeated breach towards customers, lack of insurance or damage to the platform's image.

Article 10 · Term and termination

The agreement takes effect on the date of the last signature and is renewed each month by payment of the subscription. Either party may terminate it at any time in writing; termination takes effect at the end of the period already paid. The agency remains bound to honour bookings confirmed before termination.

Article 11 · Intellectual property

The platform, its brand, its texts and its document templates remain the property of Locavi. The agency authorises Locavi to display its name, logo and photographs to present its offers.

Article 12 · Electronic evidence, signature and archiving

The parties agree that this agreement may be concluded and signed electronically and that computer records (online acceptance, timestamp, SHA-256 digital fingerprint of the document, digitised handwritten signatures, stamps) constitute proof of its content and acceptance, unless proven otherwise, in accordance with Law no. 53-05 on the electronic exchange of legal data. A signed copy is given to each party; Locavi keeps the digital original.

Article 13 · Governing law and jurisdiction

This agreement is governed by Moroccan law. The parties shall endeavour to settle any dispute amicably; failing that, the competent courts of Marrakech shall have sole jurisdiction.

Article 14 · General provisions

This agreement constitutes the entire agreement between the parties on its subject matter. If any provision is declared void, the others remain applicable. Notices are validly given by email to the addresses shown at the head of the agreement. Locavi may amend its terms with 15 days' notice; an agency that refuses them may terminate at no cost.
